These Terms and Conditions ("Terms") govern your access to and use of the Consie website at consie.com and application at app.consie.com (together, the "Service"), operated by Consie ("Consie", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@consie.com of any unauthorised use.

2. The Service

Consie provides software for deal origination, sourcing, and related workflows. We may add, modify, or remove features at any time. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

3. Connected Accounts and Third-Party Services

The Service may integrate with third-party services (such as email providers) that you choose to connect. Your use of those services is governed by their own terms and privacy policies. You are responsible for ensuring you have the right to connect and process data from any account you link, and you authorise us to access that data to provide the features you request.

The Service, including all software, content, and trademarks, is owned by Consie or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You retain ownership of the data and content you submit ("Your Data"), and you grant us a licence to process it as necessary to provide the Service.

7. Your Data

You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it. We process Your Data in accordance with our Privacy Policy.

Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, Consie will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.

11. Indemnity

You agree to indemnify and hold Consie harmless from any claims, losses, or liabilities arising from your use of the Service, your data, or your breach of these Terms.

12. Suspension and Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably believe your use poses a risk. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes.
